Template. This is a starting point for a hackathon prototype, not legal advice. Have it reviewed by a lawyer and complete the bracketed details before launch. Crowdfunding platforms in the EU also need a licence under the ECSP Regulation (EU 2020/1503).
1. Who we are
Cubicle is operated by [Company name B.V.], registered with the Dutch Chamber of Commerce (KvK) under number [number], at [address] (“Cubicle”, “we”). Contact: hello@cubicle.business.
2. What Cubicle does
Cubicle is a platform where early-stage companies present funding rounds and investors can invest in them through shares, bonds or convertible loans. We are not a party to the investment agreement between you and the company, and we do not give investment advice.
3. Your account
- You must be at least 18 and give correct information.
- New accounts are reviewed before they can invest, post or use the assistant. We may refuse or close an account.
- Keep your login safe; we recommend two-factor authentication.
4. Investing and risk
Investing in startups is risky. You can lose all of the money you invest, returns are not guaranteed, and it may be difficult or impossible to sell your stake. Only invest money you can afford to lose and spread it over several companies. Information on round pages, including AI-generated summaries and signals, is provided by the company or collected automatically and may be incomplete.
5. Payments
Payments are processed by Mollie B.V. Investors pay no platform fees. Founders pay the fees shown on Raise capital.
6. Founders
Founders are responsible for the accuracy of their page, updates and documents, and must answer investor questions honestly. We check companies before they go live but cannot guarantee their information.
7. Acceptable use
Don't misuse the platform, for example by posting misleading information, scraping it, or trying to access other people's accounts.
8. Liability
To the extent permitted by law, we are not liable for investment losses or for decisions you make based on information on the platform. [Complete with a limitation-of-liability clause.]
9. Changes and applicable law
We may update these terms and will tell you about important changes. Dutch law applies; disputes go to the competent court in [city].
